(1) Interior Ceilings and Partitions Ltd, a company registered in England and Wales under number 10090602, whose registered office address is at Probe house, Sterling Park, Clapgate Lane, B32 3BU (“the Company”) and person detailed below (“the Sub-Contractor”)
TOOLS
The following tools and equipment remain the property of Interior Ceilings & Partitions Ltd and are currently in the possession of the individual named above:

1 no. Cordless Data Module Battery Charger
2 no. Battery 55
2 no. Battery 85
1 no. Multi Line Laser
1 no. SD5000-22 Impact Driver
OWNERSHIP
The individual acknowledges that all tools listed above remain the property of Interior Ceilings & Partitions Ltd and that no ownership rights have been transferred.
RETENTION OF TOOLS
ICP agrees to allow the individual to retain possession and use of the above tools following the cessation of their engagement with the company.
MONTHLY PAYMENT
In consideration of retaining possession and use of the tools, the individual agrees to pay ICP the sum of £60.00 per calendar month. The monthly contribution of £60 represents a contribution towards the ongoing costs incurred by Interior Ceilings & Partitions Ltd in providing and maintaining the tools under its Hilti Fleet Management agreement.

Payments shall be made on or before the 30th day of each month.
FAILURE TO PAY
If any payment remains outstanding for more than 14 days, ICP reserves the right to require the immediate return of all tools listed within this agreement.
The individual agrees to return all tools within 7 days of receiving a written request from ICP.
CONDITION OF TOOLS
The individual agrees to take reasonable care of the tools and not to sell, transfer, pledge, loan or otherwise dispose of them without the prior written consent of ICP. If there are issues with loss, damage or theft, please contact Hilti on 0800 886 100.
ENTIRE AGREEMENT
This document represents the entire agreement between the parties regarding the retention and use of the tools listed above.
